Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the LearnSync platform, including the LearnSync Management, Student, Staff, and Parent web and mobile applications (collectively, the “Service”) operated by LearnSync (“we”, “our”, or “us”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
1. Eligibility and Accounts
- The Service is provided to educational institutions and their authorised users — administrators, teachers, non-teaching staff, students, and parents or guardians.
- Accounts are created and provisioned by the institution. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account.
- You must provide accurate information and notify your institution's administrator promptly of any unauthorised use of your account.
- Where a user is a minor, the account is administered by the institution and, where applicable, the parent or guardian.
2. The Institution as Data Controller
LearnSync provides the Service to institutions on a subscription basis. The institution controls the academic and personal data entered into the platform and is responsible for the accuracy of that data, for obtaining any necessary consents from students and parents, and for configuring roles and permissions. LearnSync acts as a data processor on the institution's behalf. Our handling of personal data is described in our Privacy Policy.
3. Acceptable Use
When using the Service, you agree that you will not:
- Access data or accounts you are not authorised to access, or attempt to circumvent access controls.
- Upload or transmit unlawful, defamatory, harassing, or harmful content, including through messaging and announcement features.
- Introduce malware, attempt to breach security, or disrupt the integrity or performance of the Service.
- Reverse engineer, scrape, or copy the platform except as permitted by law.
- Use the Service to send spam or unsolicited communications, or for any purpose other than the legitimate educational operations of the institution.
We may suspend or terminate access for violations of these Terms.
4. Subscriptions, Fees, and Payment
- Access to the Service is provided under a subscription agreement between LearnSync and the institution, typically priced on a per-student basis.
- Fees, billing cycles, and any applicable minimums are set out in the institution's order or agreement. Unless stated otherwise, fees are exclusive of applicable taxes.
- Founding-cohort pricing, where offered, is honoured for the period stated at the time of sign-up.
- Non-payment may result in suspension of the Service after reasonable notice to the institution.
5. Intellectual Property
The Service, including its software, design, features, and content (excluding data entered by institutions and users), is owned by LearnSync and protected by intellectual property laws. We grant the institution and its authorised users a limited, non-exclusive, non-transferable right to use the Service for its internal educational purposes during the subscription term. All data entered by an institution remains the property of that institution.
6. Service Availability and Changes
We aim to keep the Service available and reliable, and we deploy updates and improvements on a continuous basis. We may modify, add, or remove features from time to time. We may perform scheduled maintenance and will make reasonable efforts to minimise disruption. The Service is provided on an “as available” basis and we do not guarantee uninterrupted access.
7. Third-Party Services
The Service may rely on or integrate with third-party providers (for example, cloud hosting, payment gateways, video-conferencing, and push-notification infrastructure). Your use of those integrations may be subject to the third party's own terms. We are not responsible for the availability or performance of third-party services.
8. Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free or meet every requirement.
9. Limitation of Liability
To the maximum extent permitted by law, LearnSync shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data, revenue, or profits, arising out of or related to your use of the Service. Our total aggregate liability for any claim relating to the Service shall not exceed the amount paid by the institution for the Service in the twelve months preceding the event giving rise to the claim.
10. Indemnification
You agree to indemnify and hold LearnSync harmless from any claims, damages, or expenses arising from your misuse of the Service, your violation of these Terms, or your infringement of the rights of any third party.
11. Termination
The institution may terminate its subscription in accordance with its agreement with us. We may suspend or terminate access for breach of these Terms. On termination, the institution may request export of its data within a reasonable period, after which we may delete it in line with our Privacy Policyand applicable retention obligations.
12. Governing Law
These Terms are governed by the laws of India. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka.
13. Changes to These Terms
We may update these Terms from time to time. We will notify users of material changes through the application or by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
